Averos Closed License v2.0

Please read this license agreement (“License”) carefully before using the licensed software. By downloading, installing, or using any Licensed Package (defined below), you agree to be bound by the terms of this License. If you do not agree to these terms, do not use the Licensed Packages.

0. Scope

This License governs the following npm packages published by Wiforge (collectively, the “Licensed Packages”):

@averos/core
@averos/dag-engine
@averos/executor

and any other current or future package that references this License by name or by the SPDX identifier LicenseRef-Averos-1.0.

This License applies only to the Licensed Packages above. Other packages published under the averos monorepo (@averos/...) may be separately licensed under the MIT License; consult each package’s own LICENSE file. Nothing in this document affects the MIT-licensed packages.

1. Definitions

“Licensor” means Wiforge, operated by Houssemeddine Laouiti.
“Software” means the compiled, transpiled, minified, or otherwise built binary/distributable form of a Licensed Package, as published on npmjs.com.
“Source Code” means the human-readable source files from which the Software is built, including but not limited to .ts, .js, config, and build files, whether or not publicly visible in a repository.
“Marks” means the “Averos” name, wordmark, and logo, and any other Wiforge or Averos branding assets.
“Licensee” / “You” means any person or entity that downloads, installs, or uses a Licensed Package.
“Derivative Work” means any work that modifies, adapts, translates, or is based on the Source Code.

2. Grant of License

Subject to Licensee’s compliance with Section 3 (Restrictions), Licensor grants Licensee a worldwide, royalty-free, non-exclusive, non-transferable, revocable license to:

a. install, use, and execute the Software, in unmodified binary/compiled form only, including for commercial and personal purposes; and

b. distribute the unmodified Software solely as an embedded runtime dependency of Licensee’s own product or service (e.g., listed in a package.json and shipped as part of a build), for commercial or personal purposes.

This grant covers use of the compiled Software as a runtime component only. It does not grant any right to the Source Code beyond what is necessary to install and execute the Software as published, and it does not grant any right to create Derivative Works.

3. Restrictions

Licensee shall not, and shall not permit or assist any third party to:

a. modify, adapt, translate, or create Derivative Works of the Software or Source Code;

b. reverse engineer, decompile, disassemble, or otherwise attempt to derive the Source Code from the Software, except to the limited extent this restriction is not permitted by applicable law;

c. redistribute, sublicense, rent, lease, sell, or otherwise make the Software or Source Code available as a standalone product, or repackage it separately from Licensee’s own product;

d. remove, obscure, or alter any copyright, trademark, or proprietary notice contained in or accompanying the Software;

e. use the Marks, including the Averos name or logo, except for factual, non-misleading reference (e.g., “built with Averos”) that does not imply endorsement, sponsorship, or affiliation, without Licensor’s prior written consent;

f. use the Software, Source Code, or Marks as the basis to build, offer, or market a product or service that replicates or directly competes with the Averos framework itself; the Software must always function as a component within Licensee’s own product, not as the product itself; or

g. use the Software in violation of any applicable law or regulation.

Any breach of this Section 3 automatically terminates Licensee’s rights under this License, per Section 9.

4. Intellectual Property Ownership

All right, title, and interest in and to the Software, Source Code, and Marks — including all copyright, trademark, trade secret, and other intellectual property rights — are and will remain the exclusive property of Licensor. This License does not transfer any ownership rights, and no rights are granted by implication, estoppel, or otherwise beyond those expressly stated in Section 2.

5. Trademarks and Logo

The “Averos” name and logo are trademarks of Wiforge. No license, right, or interest in the Marks is granted under this License, except the limited factual-reference use described in Section 3(e). Any other use — including in a derivative logo, product name, or marketing material that could cause confusion as to source or affiliation — requires Licensor’s prior written permission.

6. Confidentiality of Source Code

Except to the extent the Source Code has been made publicly available by Licensor, the Source Code is confidential and proprietary information of Licensor. Licensee agrees not to access, use, or disclose the Source Code except as expressly permitted by this License.

7. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE USE OF, OR INABILITY TO USE, THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR’S TOTAL AGGREGATE LIABILITY UNDER THIS LICENSE SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE, IF ANY.

9. Termination

This License and the rights granted under it terminate automatically, without notice, upon any breach of Section 3. Upon termination, Licensee must immediately cease all use of the Software and destroy all copies in its possession or control. Sections 4 through 8 and 10 through 11 survive termination.

10. Governing Law and Jurisdiction

This License is governed by the laws of the jurisdiction in which Licensor is domiciled, incorporated, or maintains its principal place of business at the time a dispute arises, without regard to conflict-of-law principles. Any dispute arising out of or relating to this License shall be subject to the exclusive jurisdiction of the competent courts of that same jurisdiction.

11. General

Severability. If any provision of this License is held unenforceable, the remaining provisions remain in full force.
No Waiver. Licensor’s failure to enforce any provision is not a waiver of that or any other provision.
Entire Agreement. This License constitutes the entire agreement between the parties regarding the Licensed Packages and supersedes any prior agreements on the subject.
Assignment. Licensee may not assign this License without Licensor’s prior written consent.
